NBCC Board approves 1:2 bonus issue, fixes record debt

NBCC’s board has approved the bonus issue of shares in a 1:2 ratio, meaning shareholders will get one additional share for every two shares they currently hold in the company.

The board has set a record date of October 7 to determine the eligibility of shareholders to receive bonus shares.

The bonus shares will be issued from the free reserves created from the profits, as per the audited financial statements of the year ending March 2024. The company has available for capitalization Rs. 1,959 crore as reserve and surplus amount.

A company issues bonus shares to increase stock liquidity and lower the share price, making it more affordable for investors.

Bonus shares are fully paid up additional shares issued by a company to its existing shareholders at no additional cost. The number of bonus shares received depends on the number of shares already held by the shareholder.

All shareholders holding shares of the company prior to the record date fixed by the company are eligible to receive additional shares.

The bonus shares, once allotted, will rank pari passu with the existing equity shares in all respects. They shall have equal rights and shall be entitled to participate fully in any dividend and other corporate actions.

NBCC (India) operates through three divisions: Project Management Consultancy (PMC), Real Estate Development and Engineering, Procurement and Construction (EPC).

The PMC segment manages civil construction projects, infrastructure works for national security and civil sector infrastructure projects. The real estate development segment includes residential projects, such as apartments and townships, as well as commercial projects.

The EPC segment provides services including project conceptualization, feasibility studies, detailed project reports, basic and detailed engineering, procurement, construction, commissioning and testing, delivering projects to clients in a ready-to-use and operational condition.
